Asset protection for business owners in the Netherlands rests on one question: does your business have legal personality? A sole trader (eenmanszaak) or general partnership (vennootschap onder firma, vof) has none, so business debts can be recovered from your private assets; a private limited company (besloten vennootschap, BV) does, and its debts are in principle its own. The main exception is personal liability of the director, for example under Article 2:248 of the Dutch Civil Code (BW) in bankruptcy, and any personal guarantee you sign.

Dutch law has no homestead exemption and no trust structures of the common-law kind. Article 3:276 BW is the starting point: a creditor can recover a claim from all assets of the debtor. What does work is the right legal form, a clean separation of private and company assets, contracts and security rights, insurance, and directors who meet their filing deadlines.

Which legal form limits your liability?

Only a legal entity, such as a BV, NV, cooperative or foundation, separates the business debts from your private assets. In a vof each partner is jointly and severally liable for all partnership debts under Article 18 of the Dutch Commercial Code (Wetboek van Koophandel).

A vof does have a separated business estate, which its own creditors reach first. Once that estate is exhausted, they turn to the partners. Plans to modernise the law on partnerships have not entered into force, so these rules still apply.

Commanditaire vennootschap (cv) Jo, por ka një pronë të ndarë The managing partner is fully liable; the limited partner up to his contribution, unless he breaches the prohibition on management

Converting a sole trader business into a BV is done by notarial deed. It does not remove your liability for debts you already incurred.

Timing matters as well. A creditor can set aside a transfer of assets that harms its recovery as a paulian act (actio pauliana) under Article 3:45 BW, and a bankruptcy trustee (curator) can do the same under Article 42 of the Bankruptcy Act (Faillissementswet). Restructure while the business is healthy. The tax side is for your accountant; our avokatët e biznesit work with them on that point.

When are you personally liable as a director of a BV?

Dutch law has no general doctrine of piercing the corporate veil. Instead, it has specific grounds for personal liability of directors, and courts apply them regularly.

  • Towards the company (Article 2:9 BW): a director who is seriously to blame for improper management is liable to the company itself.
  • In bankruptcy (Articles 2:248 and 2:138 BW): each director is jointly and severally liable for the deficit if the board manifestly performed its duties improperly and this is likely an important cause of the bankruptcy. If the board did not keep proper accounts (Article 2:10 BW) or did not file the annual accounts on time (Article 2:394 BW), improper performance is established and an important cause is presumed.
  • Towards an individual creditor (Article 6:162 BW): a director who commits the company to obligations while knowing, or having reason to know, that it cannot perform and offers no recourse can be personally liable to that creditor.
  • Payroll tax and VAT (Article 36 of the Collection of State Taxes Act, Invorderingswet 1990): directors are jointly and severally liable for these taxes. The company must report its inability to pay (melding betalingsonmacht) to the Tax Administration (Belastingdienst) no later than two weeks after the payment due date.

The tax route is the most common way a small-business director becomes personally liable. Without a timely report, the director must prove that the non-payment was not his fault, which is hard in practice. The report itself costs nothing.

How do you separate private and business assets?

Keep company money and private money strictly apart, and document every transaction between you and the company. A BV that is run as a private wallet gives a trustee material for a liability claim under Article 2:248 BW.

Pay yourself a salary or a dividend, never private expenses from the company account. Record a loan between you and the company in a written agreement on market terms. Register vehicles at the RDW and real estate at the Land Registry (Kadaster) in the name of the entity that owns them. Keep the books and records for seven years, as Article 2:10 BW requires, and keep the shareholders’ register and minutes up to date.

How does your marriage affect your business assets?

For marriages entered into on or after 1 January 2018, the statutory regime is a limited community of property under Article 1:94 BW. A business you start during the marriage falls into that community, so creditors of the business owner can in principle recover from community assets.

Prenuptial or postnuptial conditions (huwelijkse voorwaarden), drawn up by a civil-law notary, keep the business out of the community. What each spouse owned before the marriage, and gifts and inheritances, stay private under the 2018 regime.

Article 1:88 BW adds a protection that often decides cases. A spouse needs the written consent of the other spouse to stand surety or accept joint and several liability for a third party’s debt, outside the normal course of his own business. Without that consent, the other spouse can annul the act under Article 1:89 BW.

The exception in Article 1:88(5) BW is narrow. No consent is needed if a director who alone or with co-directors holds the majority of the shares acts for the normal course of business of that BV. Do not assume that a guarantee outside ordinary trading falls under this exception.

How do contracts and security rights protect you?

Contracts allocate risk before it materialises. General terms and conditions only protect you if you offered the other party a reasonable opportunity to read them; otherwise a clause can be annulled under Article 6:233 BW.

A limitation-of-liability clause is valid in principle, but not against a party who caused the loss intentionally or through deliberate recklessness. Retention of title under Article 3:92 BW keeps ownership of delivered goods until you are paid. It is one of the cheapest protections available.

Security rights work the other way round. A right of pledge over receivables, inventory or shares, or a mortgage over real estate, gives the holder priority and a right of summary execution. If your company lends money, take security; if a bank lends to your company, negotiate the scope of its pledge. Our page on siguria financiare brenda ligjit të korporatave sets out the instruments.

What should you watch out for in a personal guarantee?

A personal guarantee (borgtocht, Article 7:850 BW) turns limited liability into unlimited liability with one signature. The protective rules for private sureties in Articles 7:857 and following BW usually does not help a business owner who guarantees the debts of his own BV.

Those protective rules, including the requirement in Article 7:858 BW that a maximum amount is agreed, only apply to a private individual. Under Article 7:857 BW they do not apply to a director who holds the majority of the shares and guarantees for the normal course of business of that BV. So negotiate the protection yourself: a cap, an end date, a release once agreed covenants are met, or company security instead of a personal guarantee.

Check the guarantee in a commercial lease as well. The statutory mbrojtje që gëzon një qiramarrës under Book 7 BW does not extend to the personal security the landlord asked you to sign.

Where should value sit in a holding structure?

The standard Dutch structure separates risk from value: a holding BV owns the shares in an operating BV and keeps the assets that must survive an insolvency. The operating company runs the trade, employs the staff and carries the claims.

Intellectual property, surplus cash and sometimes the business premises sit in the holding. The operating company uses them under a licence or lease on market terms, so the holding is a creditor rather than a co-debtor. This only holds if royalties and rent are actually invoiced and paid. Moving assets upstream when insolvency is in sight can be set aside under Article 42 of the Bankruptcy Act. Tax aspects such as the participation exemption and fiscal unity are for your tax adviser.

A foundation for the administration of shares (stichting administratiekantoor, STAK) holds the legal title to shares and issues depositary receipts. Voting rights sit with the STAK board; the economic rights sit with the receipt holders. It is the usual tool for keeping control together in a Biznes familjar succession or for employee participation. It is not a shield against your own creditors: depositary receipts can be attached like other assets. Our këshillim për zyrën familjare team coordinates the STAK with the will and matrimonial conditions, together with the notary.

How do you protect intellectual property and know-how?

Copyright arises automatically on creation. Under the Dutch Copyright Act (Auteurswet), the employer is deemed the author of works an employee creates in the course of the job, but that rule does not cover freelancers: without a written assignment, the copyright stays with the contractor.

Register trade marks with the Benelux Office for Intellectual Property (BOIP) or the EU Intellectual Property Office (EUIPO). A trade name is protected by use under the Trade Names Act (Handelsnaamwet). Confidential information is protected under the Trade Secrets Act (Wet bescherming bedrijfsgeheimen) only if you took reasonable measures to keep it secret, such as access restrictions and confidentiality clauses. Non-compete clauses in employment contracts must meet Article 7:653 BW.

Which insurance actually transfers risk?

Insurance covers the risks you cannot exclude by contract. The Netherlands has no workers’ compensation scheme: an employee injured at work claims against the employer under Article 7:658 BW, and the employer covers that through employer’s liability insurance.

The usual portfolio is general business liability, professional indemnity for advisory work, directors and officers (D&O) liability, cyber, business interruption and legal expenses cover. Manufacturers and importers carry strict product liability under Article 6:185 BW and need recall cover. Review sums insured whenever turnover, products or markets change, and read the exclusions.

What can creditors reach, and what not?

Under Article 3:276 BW a creditor can recover from all your assets, unless the law or a contract provides otherwise. The exceptions are narrow: there is no protection for an owner-occupied home, which a creditor with an enforceable title can have sold.

Attachment of wages and benefits is limited by the attachment-free amount (beslagvrije voet) in the Code of Civil Procedure. Basic household goods and the tools you need to earn a living are exempt. Under Article 22a of the Bankruptcy Act, the right to surrender a life insurance policy falls outside the bankruptcy estate insofar as surrender would unreasonably prejudice the beneficiary or policyholder.

For a private individual who cannot pay, the statutory debt restructuring scheme (Wsnp) lasts one and a half years under Article 349a of the Bankruptcy Act, after which a clean slate can follow. A company in difficulty can use the court-confirmed restructuring plan (WHOA, Articles 369 and following of the Bankruptcy Act) to bind dissenting creditors to a composition outside bankruptcy.

How do you keep the structure up to date?

Review your structure once a year and after every material change: new shareholders, a first employee, a large loan, a divorce, an Përvetësimi or a succession. Check the trade register, the shareholders’ register and the UBO register at the Chamber of Commerce (KVK).

Registration of ultimate beneficial owners remains mandatory. Public access was closed after the judgment of the Court of Justice of the European Union of 22 November 2022; access is now limited to competent authorities and parties with a legitimate interest.

Watch the filing deadlines, because they carry personal liability. Under Article 2:210 BW the board draws up the annual accounts within five months after the financial year, extendable by the general meeting by up to five months for special circumstances. Under Article 2:394 BW the accounts must be filed with the trade register within eight days of adoption and no later than twelve months after the financial year. Late filing triggers the presumption of Article 2:248(2) BW in a bankruptcy.

What should you check as a business owner or director?

Most personal liability arises from a few avoidable mistakes. Check these points at least once a year.

  • Is the business run through a BV or another legal entity, and are assets registered in the right entity’s name?
  • Were the annual accounts drawn up and filed within the deadlines of Articles 2:210 and 2:394 BW?
  • Did the company report any inability to pay payroll tax or VAT to the Belastingdienst within two weeks of the due date?
  • Do your personal guarantees have a cap and an end date, and did your spouse consent where Article 1:88 BW requires it?
  • Do prenuptial or postnuptial conditions keep the business out of the community of property?
  • Do all contractor agreements contain a written assignment of copyright?

What should you check as a creditor of a BV?

As a creditor you mainly rely on security and on the personal liability grounds above. Check these points before you extend credit or start collection.

  • Does the company file its annual accounts at the KVK, and what does the latest balance sheet show?
  • Can you obtain a personal guarantee, a right of pledge or retention of title under Article 3:92 BW?
  • Were your general terms offered to the other party before or at the conclusion of the contract (Article 6:233 BW)?
  • Were assets moved out of the company shortly before default, which may be set aside under Article 3:45 BW?
  • Did the director commit the company while knowing it could not pay, which may ground a claim under Article 6:162 BW?

  • Only a legal entity such as a BV separates business debts from your private assets; vof partners are fully liable under Article 18 of the Commercial Code.
  • Directors are personally liable on specific grounds, including Article 2:248 BW in bankruptcy and Article 36 Invorderingswet for unpaid payroll tax and VAT.
  • A director-majority shareholder who guarantees his own BV’s debts usually does not get the consumer protection of Article 7:858 BW: negotiate a cap yourself.
  • Marriage, transfers to a holding and late filing of annual accounts can undo the protection a BV offers.

Pyetjet më të shpeshta

Does a BV protect my house against business creditors?

In principle yes: debts of the BV are its own, and creditors of the BV cannot recover from your private assets. That protection falls away if you signed a personal guarantee or if you are personally liable as a director, for example under Article 2:248 BW in a bankruptcy or under Article 36 of the Invorderingswet for unpaid payroll tax and VAT.

Can I move assets to a holding company when my business is in trouble?

Transfers made when insolvency is in sight can be set aside by a creditor under Article 3:45 BW or by the trustee under Article 42 of the Bankruptcy Act, and they can support a director liability claim. Set up a holding structure while the business is healthy.

Does my spouse have to consent to a guarantee I give for my BV?

Under Article 1:88 BW a spouse needs the other spouse’s written consent to stand surety. No consent is needed if you are a director who alone or with co-directors holds the majority of the shares and the guarantee serves the normal course of business of that BV (Article 1:88(5) BW).
